Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and CFAclub Education Private Limited ("CFAclub", "we", "us", or "our"). By accessing, registering on, or using the CFAclub website (cfaclub.in) and any associated mobile applications or services (collectively, the "Platform"), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform.

To use the Platform you must:

• Be at least 18 years of age, or have the consent of a parent or legal guardian.
• Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.
• Not be barred from receiving services under applicable law.

By using the Platform, you represent and warrant that you meet all eligibility requirements.

• You must provide accurate, current, and complete information during registration and keep it updated.
• You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at adminteamcfaclub@gmail.com of any unauthorised use of your account.
• One account per person. Creating multiple accounts to circumvent restrictions or obtain additional trial benefits is prohibited.
• We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

CFAclub provides an online education Platform that includes:

• Question Bank with curated CFA prep questions.
• AI Mentor — an AI-powered personalised study assistant.
• Mock Tests and performance analytics.
• VocabClub — vocabulary building tools.
• Discussion Forums and peer-to-peer learning communities.
• Exam preparation blogs, guides, and resources.

We reserve the right to modify, suspend, or discontinue any feature or the entire Platform at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

You agree not to:

• Reproduce, distribute, modify, or create derivative works of any Platform content without our prior written consent.
• Use the Platform for any unlawful purpose or in violation of any applicable Indian or international law.
• Attempt to gain unauthorised access to any part of the Platform or its related systems.
• Use automated tools (scrapers, bots, crawlers) to extract content or data from the Platform.
• Post, upload, or share content that is defamatory, obscene, harassing, hateful, or violates the rights of any third party.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Upload or transmit viruses, malware, or any other harmful code.
• Share account credentials or provide access to the Platform to any third party.
• Engage in any activity that disrupts, damages, or impairs the performance or functionality of the Platform.
• Circumvent, disable, or otherwise interfere with any security-related feature of the Platform.

Violation of this section may result in immediate termination of your account without any liability on our part and, where appropriate, referral to law enforcement authorities.

All content on the Platform — including but not limited to questions, explanations, articles, videos, software code, graphics, logos, trademarks, and AI Mentor outputs — is the exclusive property of CFAclub Education Private Limited or its licensors and is protected by Indian and international intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform for your personal, non-commercial study purposes only.

You may not reproduce, republish, sell, or distribute any Platform content, in whole or in part, without our express written permission. Unauthorised use constitutes infringement and may result in civil and criminal liability under applicable law.

"CFAclub", the CFAclub logo, and related marks are trademarks of CFAclub Education Private Limited. You may not use these marks without our prior written consent.

The Platform allows users to post content in forums and discussion sections ("UGC"). By submitting UGC you:

• Represent that you own or have the necessary rights to the UGC and that it does not violate any third-party rights or applicable law.
• Grant CFAclub a worldwide, royalty-free, non-exclusive licence to use, reproduce, modify, display, and distribute the UGC solely for operating and improving the Platform.
• Agree that CFAclub may remove any UGC that violates these Terms or that we deem inappropriate, at our sole discretion.

You remain solely responsible for your UGC. CFAclub is not liable for any UGC posted by users.

The AI Mentor feature is powered by large language models. By using this feature you acknowledge and agree that:

• AI-generated responses are for educational assistance only and do not constitute professional advice (legal, financial, medical, or otherwise).
• AI outputs may occasionally be inaccurate, incomplete, or outdated. You are responsible for independently verifying any information before relying on it.
• CFAclub does not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated content.
• You must not input sensitive personal information (Aadhaar numbers, financial data, passwords) into the AI Mentor.
• Conversations with the AI Mentor may be used in anonymised form to improve our services, as described in our Privacy Policy.

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

We specifically disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• That the Platform will be uninterrupted, error-free, or free of viruses or harmful components.
• That the content is accurate, complete, current, or reliable for any purpose.
• That using the Platform will result in admission to any B-School or a particular score in any examination. Past performance of students featured on the Platform does not guarantee similar results.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, IN NO EVENT SHALL CATCLUB, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL;
• DAMAGES ARISING FROM UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

arising out of or related to these Terms or your use of (or inability to use) the Platform, even if we have been advised of the possibility of such damages.

IN ANY CASE, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM, OR ₹1,000 (WHICHEVER IS GREATER).

You agree to indemnify, defend, and hold harmless CFAclub Education Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Platform.
• Your breach of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any UGC you submit to the Platform.

The Platform may integrate with or link to third-party services (payment gateways, social login providers, external websites). These third-party services are governed by their own terms and privacy policies. CFAclub is not responsible for the content, privacy practices, or reliability of any third-party service.

We may update these Terms at any time. When material changes are made, we will notify you via email (sent to your registered email address) and/or via a prominent notice on the Platform at least 15 days before the changes take effect.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Platform and may delete your account.

• Entire Agreement: These Terms (together with the Privacy Policy and any other policies incorporated by reference) constitute the entire agreement between you and CFAclub regarding the Platform.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
• Force Majeure: We shall not be liable for any delay or failure to perform our obligations due to causes beyond our reasonable control, including natural disasters, government actions, internet failures, or pandemic-related disruptions.
• Language: These Terms are written in English. In the event of a conflict between an English version and any translation, the English version shall prevail.
